# PTC completes its purchase of Arena

PTC agreed on 12 December 2020 to buy Arena Holdings, Inc., a Delaware company, by merger. The base price was about $715 million.[^8k-2020] It completed the deal on 15 January 2021. PTC paid about $715 million, net of cash, and borrowed it under its existing credit facility.[^8k-2021]

Arena was based in Foster City, California. PTC said it served more than 1,200 customers and expected it to end 2020 with about $50 million in annual recurring revenue.[^ptc-pr] It had about 170 employees when the deal closed.[^10q] The private-equity firm JMI Equity had bought Arena in 2017 and was on the selling side.[^timeline][^ptc-pr]

Arena is now sold as "Arena, a PTC business", and the customer agreement is with PTC Inc., a Massachusetts corporation.[^terms]

## What it means for buyers

Our [Arena QMS review](/reviews/arena-qms/) notes that Arena hasn't published a list price since 2016, that the agreement lets it raise fees at each renewal with 30 days' notice and no cap, and that the export after the contract ends is charged as professional services.
