On 4 October 2026 PTC Inc. signed a merger agreement with Schneider Electric SE, a European company (société européenne) organised under French law. PTC would survive the merger as a wholly owned subsidiary of Schneider Electric.[^8k] Schneider Electric is paying $205 a share in cash, which values PTC's equity at about $22.6 billion (€20.1 billion).[^pr]

The boards of both companies approved the deal. It still needs a majority of PTC's shareholders and regulatory approvals, and the companies expect it to close by the third quarter of 2027.[^pr] Neither filing mentions Arena.[^8k][^pr]

PTC has owned Arena since January 2021, when it [bought it for about $715 million](/news/ptc-acquires-arena/). Arena customers contract with PTC Inc. directly.[^review]

## What it means for buyers

Nothing changes for Arena customers until the deal closes, and the filings say nothing about Arena's future. Our [Arena QMS review](/reviews/arena-qms/) notes that the customer agreement lets PTC transfer your contract to a buyer without your consent and has no insolvency or escrow terms, and that the export after the contract ends is charged as professional services. If you're signing or renewing in the next year, ask for a renewal cap and the exit export terms in writing.
